Sale Of Business IRS Form

Sale Of Business IRS Form

Question: Can a 501(c)(3) organization be purchased?

I am looking at purchasing a school. It is currently a 501(c)(3) organization, although it is run like a business and the owners pay themselves most of the profits in the form of salary and perks. Can I purchase this school as a 501(c)(3)? From another Q&A exchange in this forum, I understand this is not possible. If it is not possible to purchase the 501(c)(3), would it be possible to purchase the assets instead? My understanding from reading the IRS guidelines is that the assets could be purchased, but the sellers would have no way to pay themselves the proceeds of the asset sale without creating an excess benefit transaction and having to pay excise taxes of 200%. Thus the sellers would never wish to do this. I look forward to your responses.

Answer: OK, I’m sticking my neck out a bit here (because I KNOW some smarty-pants CPA will want to show me up) but I don’t see how you could purchase the 501 (c) (3) because there are no shareholders. The only way to purchase an entity is to buy the controlling shares. So it comes down to forming a 501(c)(3) and purchasing the assets OR simply offering a nice retirement to the present operators and become the director of the existing entity. That’s what you are after anyway: the director’s paycheck.

Contact IRS About Stimulus Check

Question: I need to find out about my stimulus check?

I went to IRS.gov and check my eligibility and date it should have been deposited. It still has been put into my account and I filed by direct deposit. How can I find out more or who can I contact?
I went to irs.gov to find out if I am eligible and also when I should receive my check. I set up direct deposit through Jackson hewit ( who I can no longer reach) so I should have received my payment on the 9th. Where do I go from here?

Answer: A lot of people think they qualify for direct deposit and the don’t.

Check your bank statement from when the original refund came – if it says “US Treasury” you should be OK for direct deposit as long as that account is still open, and you didn’t split your refund into multiple accounts. Otherwise, you’ll get a paper check.
